Welcome to Mitsify Web Development LLP ("Mitsify", "we", "us", or "our"). By accessing or using our website (mitsify.com) and engaging our software development services, you agree to be bound by these Terms of Service. Please read them carefully.

1. Acceptance of Terms

By accessing our website, requesting a demo, submitting a contact form, or engaging our services, you confirm that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, please do not use our website or services.

2. Description of Services

Mitsify Web Development LLP provides custom software development services including, but not limited to:

• Custom web application and website development
• Mobile application development (Android & iOS)
• SaaS platform development and deployment
• Business software: Gold & Jewellery Billing, Textile Billing, Medical Billing, School Enquiry Management, Exhibition Apps, AI Voice Calling
• UI/UX design, API integration, database development
• Software maintenance, support, and consulting

Specific service terms, deliverables, timelines, and pricing will be agreed upon in a separate written agreement or Statement of Work (SOW) for each project. In the event of any conflict between these Terms and a signed project agreement, the signed agreement will govern for that project.

3. Intellectual Property

3.1 Our Intellectual Property

All content on this website — including text, graphics, logos, icons, images, and software — is the property of Mitsify Web Development LLP or its content suppliers and is protected under applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without express written permission.

3.2 Client Work Product

Upon full payment of agreed fees, clients receive ownership rights to the custom software deliverables created specifically for their project, as defined in the signed agreement. Mitsify retains the right to use generic components, frameworks, and methodologies developed independently.

3.3 Third-Party Components

Our solutions may incorporate open-source components. Usage of such components is governed by their respective licenses. We will disclose third-party components used in your project upon request.

4. Payment Terms

• Payment terms, milestones, and due dates are specified in the individual project agreement, quotation, or invoice for each engagement.
• All prices are in Indian Rupees (INR) and exclusive of GST (18%) unless stated otherwise.
• Late payments may attract interest as specified in the applicable agreement or invoice.
• Work may be paused or withheld if payments are significantly overdue, as specified in the applicable agreement.

5. Project Delivery and Timelines

Estimated timelines are provided in good faith and are subject to:

• Timely provision of required information, content, and feedback from the client
• Scope of work remaining unchanged from the original agreement
• Absence of force majeure events (technical outages, natural disasters, etc.)

Scope changes requested after project commencement may affect timelines and pricing. All scope changes require written approval.

6. Warranties and Limitation of Liability

Except as expressly set out in a signed Statement of Work or project agreement, our services and software are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied. We do not warrant that our software will be error-free, uninterrupted, or that it will meet your specific requirements.

To the maximum extent permitted by law, Mitsify's total liability for any claim arising from our services shall not exceed the total fees paid by the client for the specific project to which the claim relates. We shall not be liable for any indirect, consequential, or punitive damages.

7. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the project. This obligation survives the termination of any agreement. We may be required to disclose information by law or court order, in which case we will notify the client to the extent possible.

8. Termination

Either party may terminate a project agreement with 30 days' written notice. Upon termination:

• The client is liable for all work completed up to the termination date
• Mitsify will deliver all completed deliverables upon receipt of outstanding payments
• Non-refundable advance payments will not be returned unless Mitsify terminates without cause

9. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Any disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts of Chennai, Tamil Nadu, India.

10. Changes to These Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated effective date. Continued use of our website or services after changes constitutes acceptance of the modified Terms.
